Professional partnership terms for LED driver manufacturing and OEM/ODM services
1. Partnership Scope
Applicable Services
- OEM/ODM manufacturing of LED drivers and control systems
- Custom design and development services
- Wholesale manufacturing for global distributors
- Private labeling and brand customization
Target Partners
These terms apply exclusively to B2B partnerships including international brands, distributors, importers, engineering companies, and wholesale buyers. Retail sales are not covered under these terms.
2. Order Rules
Minimum Order Quantity
- Standard products: 100 units
- Custom OEM/ODM: 500 units
- Volume orders: Negotiable
Payment Terms
- New partners: 50% deposit
- Established: 30% deposit
- Balance: Before shipment
Delivery Schedule
- Standard: 15-25 days
- Custom: 30-45 days
- Rush orders: +20% fee
3. Customization Terms
Prototype & Sampling
Sample Fees
- • Standard modifications: $200-500
- • New design development: $500-1500
- • Complex custom projects: Quoted individually
Sample fees are fully refundable upon order confirmation (MOQ 500+ units).
Tooling & IP Ownership
Mold Ownership
- • Customer-funded tooling: Customer owns
- • Shared investment: Joint ownership
- • Factory investment: Factory retains rights
Custom designs and specifications remain confidential and exclusive to the commissioning partner.
4. Quality Assurance & After-sales
Inspection & Acceptance
Factory Inspection
- 100% electrical parameter testing
- Aging test for stability verification
- Visual inspection and packaging check
Customer Acceptance
- 7-day inspection period upon receipt
- Documented quality claims required
- Third-party testing reports accepted

5. Liability & Dispute Resolution
Breach of Contract
Customer Obligations
- • Payment delays: 2% monthly penalty
- • Order cancellation: 30% deposit forfeiture
- • Specification changes: Additional costs apply
Supplier Obligations
- • Delivery delays: 1% weekly compensation
- • Quality defects: Replacement + shipping costs
- • Specification deviation: Full refund option
Dispute Resolution
Resolution Process
- 1 Direct negotiation (30 days)
- 2 Mediation through trade association
- 3 International commercial arbitration
Governing Law
Contracts governed by PRC commercial law. International disputes subject to Singapore International Arbitration Centre (SIAC) rules.
